INBE Collaborative Work Platform Terms and Conditions

 

PRELIMINARY REMARKS

These Terms and Conditions constitute a legal agreement (hereinafter referred to as the “Agreement”) between the user (hereinafter referred to as “you”) and 9288 3537 Québec Inc. (hereinafter referred to as “INBE”) for the use of the INBE collaborative work platform (hereinafter referred to as the “Platform”). 

 

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE VISITING THE SITE.

By using the Platform, you accept to be bound by the terms and conditions of this Agreement for as long as you are on the Platform. 

 

IF YOU DO NOT CONSENT TO BE BOUND BY THIS AGREEMENT, DO NOT NAVIGATE ON THE INBE PLATFORM.

The Terms and Conditions of this Agreement are subject to changes at any time and such changes will be effective immediately.

  1. Acceptance of the Terms and Conditions

By using the Platform, you declare that you have read, understand and accept to be bound by this Agreement. INBE reserves the right to update, change, add, or delete provisions in this Agreement without prior notice and at its own discretion. In this case, INBE will publish the latest version of the Agreement on the Platform with the revision date indicated at the top of the page. 

  1. Authorized Users

The Platform offers exchanges between project designers (INBE clients), experts and end users (participants) for the benefit of INBE’s partners and clients. Thus, all INBE collaborators, partners, its clients, experts, and participants are allowed to use the Platform.

  1. INBE’s Mission

With our unique collaborative platform, INBE puts end users at the centre of a worldwide product development process. End users come together for a common project and are part of a community that shares its opinions on ever-evolving product concepts. INBE captures the voice of customer to dramatically accelerate innovation. 

  1. Copyrights, Trademarks and Confidentiality

The Platform allows users to access information, polls, a blog, photo albums, and other content specific to the Platform. The Platform enables users to gain access to product samples. All the content (texts, illustrations, plans, mock-ups, styles, photos, images, and others) reproduced on the Platform, including information (products, ideas or projects) in the Platform is the exclusive property of INBE or its clients. The contents are also protected by international copyright laws and intellectual property laws.

When indicated by INBE or one of its clients, you must keep the information you received when using the Platform strictly confidential. You are strictly prohibited from sharing any information (texts, illustrations, photography, opinions, etc.) on the products, ideas and projects that are part of the Platform.

Any reproduction, whether in full or in part, of the Platform is strictly prohibited. It is also prohibited to modify, copy, distribute, send, transmit, represent, reproduce, publish, licence, transfer, or sell any information, software, product, or service obtained through the Platform, or to create any work derived from the above elements. You are not allowed to use the information and the contents provided on the Platform for any personal or commercial use.

Under this Agreement, users concede to INBE’s clients all intellectual property pertaining to any work created for a project in the Platform, including but not restricted to, the ideas, comments that led to ideas, drawings, photographs, plans, documents, articles published on the blog, or other elements related to intellectual property created through the use of the Platform. 

  1. Password

You are responsible for maintaining the confidentiality of your password. INBE will not be liable for the unauthorized use of your account. Should the confidentiality of your password be compromised, please notify INBE as soon as possible to prevent the potential fraudulent use of your account.

  1. Use of Online Communication Services

You are solely responsible for the content that you distribute and publish through our services (email, profile, address, photos, and external links to Facebook, Twitter, Pinterest, and Google+ profiles, attachments), your comments in the polls and on the blog, the articles you post on the blog, the messages you send to users, and any consequence resulting from that content. 

By submitting information, articles, files, content, comments, or others, you acknowledge that they are true to the best of your knowledge. You confirm that you own all the copyrights for the content you submit on the Platform or you specify the source of the published content.

Even though INBE reserves the right to delete certain data at its own discretion, such action remains a right, not an obligation. Given the volume of data on the Platform and the speed at which it is transmitted, INBE makes no representations whatsoever about the control of the information content available on the Platform. INBE also reserves the right to block access from its interactive online services by withdrawing your right to access your account. INBE reserves the right to sue any user who does not comply with this Agreement.

INBE cannot be held liable in any way for any action taken by a user.

  1. Code of Conduct

You are not allowed to upload, publish, transfer, share, store or distribute (via your profile, your blog articles, your comments on the project, your private messages, etc.) any content that is false, misleading, detrimental, menacing, illegal, defamatory, unauthorized, abusive, malicious, vulgar, obscene, fraudulent, or odious, or that encroaches others’ privacy or intellectual property, encourages violence or racism, or is otherwise reprehensible. You accept to comply with the laws in effect while using INBE’s services. 

You are not allowed to commit acts that could harm others’ rights and use of the service, including:

Identity theft: You cannot use personal or confidential information to create an account or otherwise pretend that you are a person other than yourself.

Disclosure of Confidential information: You cannot publish confidential information such as credit card numbers, addresses, social insurance numbers, or others, without the express consent of their owner.

Spamming: No spamming is allowed on the Platform. What is described as “spamming” evolves with the new tricks and tactics used by spammers. The following statements are used to determine if you are committing acts of spamming on the Platform:

  • if you send (via comments, private messages, articles, etc.) the same message several times or if you send messages that aren’t linked with your activities on the Platform;
  • if you publish the same reference several times or several texts with a basically identical message on the blog;
  • if INBE receives a certain number of complaints about you, via Platform’s “Report” function;
  • if you publish identical content from different accounts or identical and/or repetitive content from one account.

Abuse: No act of abuse is tolerated on the Platform. The following are considered acts of abuse:

  • Creating a series of accounts. You cannot create a series of accounts for pernicious or disturbing uses. Creating several accounts for a single user justifies that all of these accounts be suspended.
  • Posting comments or messages, detrimental, menacing, defamatory, malicious, vulgar, obscene, fraudulent, or odious, or that encroach others’ privacy or intellectual property, encourage violence or racism, or are otherwise reprehensible.

Users can notify INBE any user who does not comply with these terms and conditions.

  1. Account Suspension

INBE reserves the right to permanently suspend, without prior notice or delay, any account that does not comply with this Agreement.

If you believe that your account was unfairly suspended, you may contact the INBE team.

Accounts created to replace a suspended account will also be permanently suspended.

 

  1. Food Allergies, Intolerances and Restrictions

If you are a part of a project that concerns food, when you receive any food product, make sure that the product is not expired and has not decomposed during shipment or delivery. Consequently, make sure the food product is in good condition, fresh and edible. Put the food product in the refrigerator as soon as you receive it to prevent it from spoiling. Consume it within 72 hours of delivery. 

If you suffer from food allergies, restrictions or intolerances, make sure you carefully read the ingredients on the food label before eating the food product that was sent to you; this is to ensure that the food product is safe enough to eat based on your food allergies, intolerances or restrictions. If you are allergic or intolerant to an ingredient found in the food product, please do not eat it and mention this when you complete the satisfaction survey. Because you have food products that are currently under development, there may be errors or omissions in the list of ingredients and nutrition facts that were sent to you. Therefore, please be careful and, when in doubt regarding a food allergy or food intolerance, refrain from consuming the food product you received.

  1. Network Safety and Efficiency

INBE does not guarantee the absolute safety or efficiency of the network. It is possible that a hacker could manage to gain access to the server. Thus, it is important that BEFORE YOU ACCESS YOUR ACCOUNT, USE OR MAKE TRANSACTIONS ON THE PLATFORM you remember that it is always possible that a malevolent individual could access the Platform servers and use personal information put on the Platform by its users for their own purposes. UNDER NO CIRCUMSTANCES WILL NEITHER INBE NOR any of its administrators, managers, employees, agents, representatives or designated persons be held liable for any hacking or be blamed for any damage or loss occurring to a user. The Platform can be subject to occasional failures and some programming errors can occur due to updates or events out of the administrators’ control. Neither the administrators, managers, employees, agents, representatives, designated persons, nor any INBE user will be held liable should a user not be able to use the Platform whatever the cause (misunderstanding, defective phone line, incompatible modem, broken cable, wrong configuration, wrong browser, etc.).

  1. External Links

The Platform can contain links to other websites or various information such as links to the Facebook, Twitter, Pinterest, Google + or other profiles of users (hereinafter referred to as the “External Links”), and links to content owned by third parties or accessed through the External Links. INBE does not have any means to control those External Links and their content, and therefore does not guarantee or represent their availability. INBE does not support or approve the content under the External Links and excludes all related liability. You may only use the External Links from the Platform at your own risk and will assume all liability for such action. 

  1. User Engagement and Involvement

INBE makes it possible for you to gain reward badges based on your activity on the Platform. The reward mechanisms for those badges and other rewards are left to the sole discretion of INBE or its partners and clients. INBE will not be held liable in any way for the reward mechanisms of badges and rewards. 

  1. Limit of Liability

NEVER WILL INBE, ITS ADMINISTRATORS, MANAGERS, EMPLOYEES, AGENTS, REPRESENTATIVES OR DESIGNATED PERSONS BE HELD LIABLE FOR ANY RECLAMATION OR DIRECT OR INDIRECT LIABILITY PERTAINING TO THE USE OF THE PLATFORM, SERVICES PROVIDED THROUGH THE PLATFORM, INFORMATION ON THE PLATFORM OR INTERPRETATION OF THIS AGREEMENT. 

  1. INBE’s Mission

Through its unique collaborative method, INBE puts the final users at the heart of a global product development process. INBE brings them together to work on projects, where they become a community in which each and every one shares their opinion on the concepts of the products being developed. That process enables INBE’s mission to capture the pure expression of the client’s voice to drastically speed up the innovation. 

  1. Applicable Law

This Terms and Conditions Agreement is governed by the Applicable Law of the province of Québec (Canada). Under this Agreement, you acknowledge that any dispute pertaining or linked to the use of the services, Platform or Agreement will be put under the jurisdiction of the city of Québec, in the province of Québec (Canada). 

  1. Arbitration

Notwithstanding the Applicable Law section of this Agreement, any dispute related to this Agreement that cannot be settled by negotiation between the parties or their representatives will be subjected to arbitration in accordance with the provisions of the Code of Civil Procedure of Québec (Canada). 

  1. Compensation

Under this Agreement, you accept to take up the defense for INBE should you or any user using your access to the Platform sue INBE following a breach of this Agreement.

  1. Force Majeure

Without limiting the generality of the preceding, INBE will not be held liable for the default, in full or in part, of any of its obligations towards you, or for damages or losses that you could be subjected to if such default, damages or losses result from a case of force majeure or circumstances out of its control. 

  1. Newsletter and Other Communications Sent by INBE

By authorizing INBE to communicate with you by email, you accept that INBE communicate any relevant information relating to the use of its services, new features, special offers, new polls, and others. You can unsubscribe from INBE’s mailing list at any time. However, as long as you remain a user of the Platform, INBE may send you information related to the use of its services. To stop receiving such information, you can delete your account in accordance with the required conditions.
