Conditions apply unless otherwise specified in the quote.
Payment terms
- Billable at 100% upon acceptance of the quote.
- All checks should be made payable to Inbe (9288-3537 Quebec Inc). Payment can be made by Interac transfer. Contact “gestion@inbe.ca”.
- A 3% fee applies to credit card payments.
- Invoices payable on receipt and will bear interest after thirty (30) days at the rate of 18%, or 1.5 percent per month.
Rendered Service Terms
- The start of the project only begins with the approval of the quote.
- Inbe undertakes to provide its services, according to the client’s indications, with prudence and diligence and in the best interests of the client using all reasonable means and in accordance with the applicable rules of the art, without however being able to guarantee the following commercial results. Services.
- The customer remains responsible for the choices made. It is understood that the customer retains the responsibility for carrying out the validations and pre-marketing tests and for ensuring the conformity of the product developed, including, but not limited to, the quality and safety standards in force and the aspects of intellectual properties.
- The parties acknowledge and declare that Inbe will have full discretion to use the services of one or more third parties to perform the obligations provided for and arising from this contract.
- The client acknowledges that any schedule may be subject to change without notice in the event that the client makes any modification resulting in the modification of the information given by the client in the context of this service offer or at one of the stages of the work or for any other consideration that cannot be attributed to Inbe’s fault. The client undertakes not to hold Inbe responsible for any delay in the schedule for one of the reasons set out in this paragraph.
Terms of termination
- Inbe may terminate this contract, on simple notice, if one or more of the following events (the “Faults”) occur and the customer does not remedy this or these Fault(s) within ten (10 ) days following receipt of a written notice from Inbe mentioning the alleged Defect(s):
- a) If the Customer omits or fails to make payment of any amount due to Inbe when due; Or
- b) if the customer is the subject of bankruptcy proceedings or any other proceeding under the Bankruptcy and Insolvency Act or a composition proposal, or avails himself of any provision of a law relating to bankruptcy or insolvency; Or
- (c) if the customer fails to comply with one or more of its obligations hereunder;
- In the event of termination in such circumstances, the customer will no longer have access to Inbe products and services and there will be automatic forfeiture of the term and the entire balance will then become immediately payable.
- Customer may choose to terminate this Agreement at any time. If necessary, the customer will no longer have access to Inbe products and services and undertakes to pay 100% of the price of the stages in progress and 50% of the price of the stages not started.
Confidentiality
- The client undertakes to maintain the strictest confidentiality and not to disclose, publish or use in any way whatsoever, for its own benefit or in its own interest or in the interest of a third party, any confidential information concerning Inbe, its methodology or any participant data. Confidential information is the exclusive property of Inbe.
- For the purposes of this commitment, “confidential information” means all information to which the client will have access as a result of this service offer and the project and concerning Inbe, its related persons and its participants, which information includes in particular but not limited to the methodologies, templates, participant data, licenses, forms, formulas, manufacturing processes, trade secrets, devices, analyses, results, compilations, data, technical information, models, drawings, plans, prototypes as well as all inventions, discoveries, creations, innovations, improvements, works, patents, patent applications, copyrights, industrial designs, trademarks, know-how and technology.
- The client also undertakes not to take any copy, photocopy or reproduction in any form whatsoever of any confidential information, without the prior authorization of Inbe.
DISCLAIMER OF LIABILITY
- Limitation of Liability. in no event will Inbe, its employees, agents, representatives, mandataries, affiliates or suppliers be liable to the customer for any loss, damage, claim or expense whatsoever, including any consequential, indirect or incidental damages, any loss of profits, loss of revenue, damages related to customer no-shows, loss of data and failure or malfunction of computers or loss of use resulting from this contract or the use of the software Inbe. This contract constitutes an obligation of means on the part of Inbe and not an obligation of result.
- Force majeure. Without limiting the generality of the foregoing, Inbe shall not be liable for the non-performance, in whole or in part, of any of its obligations to the customer, nor for any damages or losses that the customer may suffer, if the non-performance, the damage or loss results from a case of force majeure or a circumstance beyond its control. Force majeure constitutes any cause beyond the control of the parties hereto, which they could not reasonably have foreseen and against which they could not protect themselves. Force majeure includes, but is not limited to, any fortuitous event, strike, partial or complete stoppage of work, lockout, fire, riot, intervention by civil or military authorities, compliance with the regulations or orders of any governmental authority and of war (declared or not).
Non-solicitation of staff
- It is agreed, between Inbe and the client, that neither the company, nor its directors, officers or shareholders, may, directly or indirectly, solicit the services, contract, offer employment or encourage the defection of any resource person that one of the parties delegates within the framework of this service offer for the benefit of the other party. This prohibition applies for the duration of the contract binding the parties and will continue for a period of one (1) year after the termination of the contract.
Applicable laws
- This agreement is subject to the laws in force in the province of Quebec, Canada. The parties agree that any legal action, if any, will be instituted in the district of Quebec, Canada. Quebec laws apply.
Entry into force of the contract
- This contract comes into force upon signature of the parties or approval of the quote by the client.
Agile approach
- In its desire to offer its clients flexibility and adaptability, inBe draws inspiration from Agile project management practices to manage its projects. This is why we offer a respondent fee estimated as Lean as possible for each project. However, inBe usually recruits more respondents in order to be able to guarantee the specified number. Furthermore, the time consumed for the completion of the project will be debited from the bank. The client will be kept informed of the progress of recruitment and the consumption of the time bank on a periodic basis (agreed with the client) for progress in complete transparency.
Respondent fees
- inBe will adjust the final project invoice according to the actual number of respondents up to +/-10% without additional approval from the client. Beyond 10%, the client must approve any addition of respondents.
Accompaniment time bank
- inBe will adjust the final project invoice according to the actual time taken up to +/-10% without additional approval from the client. Beyond 10%, the client must approve any additional time. Below 10%, excess time will be transferred to a future client project.
Availability of a plan
- The inbe platform is constantly evolving. As such, packages are subject to change from time to time, at our sole discretion. At the end of your plan, we may stop (temporarily or permanently) providing the services and products or any functionality included therein. We also reserve the right to set usage and storage limits at any time and at our sole discretion.
Closing your account on the Inbe platform
- At the end of your subscription to the Inbe platform, if you have chosen not to renew your subscription, your account and your data will be deleted 30 days after your renewal date.
